Romtos Terms of Service
1. Introduction and General Terms
Welcome to the Romtos platform!
These Terms of Service (“Terms”) govern your access to and use of the Romtos platform, including our website, mobile applications, content, products, services, and technologies (collectively referred to as the “Platform”), provided by Romtos.
By registering on the Platform, creating an account, or using any features or services, you (“User”, “you”) confirm that you have read, understood, and agree to these Terms, as well as to the Privacy Policy and other applicable rules and documents published on the Platform. If you do not agree with the Terms, please discontinue your use of the Platform.
The Romtos Platform provides users access to a modular system of online services, including:
- selection and hiring of qualified freelancers;
- posting tasks and project execution;
- participation in educational programs;
- skills certification;
- interaction between clients, freelancers, and instructors.
These Terms apply to all categories of users, including but not limited to:
- Clients — post tasks, order services, or purchase educational content;
- Freelancers — offer and perform work;
- Instructors — create and conduct educational courses;
- Students — receive knowledge and services;
- Visitors — browse or interact with the Platform without registration.
You confirm that you are at least 16 years old and have full legal capacity to enter into binding agreements. If you use the Platform on behalf of a legal entity, you confirm that you have the authority to accept the Terms on its behalf.
Romtos reserves the right to modify or supplement these Terms at any time. In case of significant changes, you will be notified via the Platform interface or by email. Continued use of the Platform after the changes take effect constitutes your acceptance of the new Terms.
2. Registration and Account
To use the key features of the Romtos Platform, including creating tasks, completing projects, taking courses, and receiving payments, you must register and create a personal account.
2.1. Registration Requirements
- You agree to provide truthful, accurate, and complete information about yourself during registration.
- You are responsible for keeping your account information up to date.
- You agree not to create more than one account, except in cases explicitly permitted by Romtos administration.
- Romtos reserves the right to refuse registration, temporarily suspend, or delete an account in case of violation of the Terms.
2.2. Account Security
- You are fully responsible for maintaining the confidentiality of your account login and password.
- You agree to immediately notify us in case of unauthorized access or suspicion of a security breach.
- Romtos is not responsible for any losses resulting from unauthorized access to your account if you have not taken reasonable measures to secure it.
2.3. Use of Account
- The account is intended for personal or professional use by a specific user and may not be transferred to third parties without Romtos’s written consent.
- You agree to use your account in compliance with applicable law and these Terms.
- Romtos reserves the right to verify your identity, including using third-party services, to confirm the accuracy of your data and prevent fraud.
The Romtos platform provides users with access to a modular system of online services and educational programs. All functions of the Platform are intended solely for lawful, good-faith, and non-commercially harmful use.
3.1. Description of Provided Services
Within the Platform, you can:
- Post tasks and hire freelancers;
- Offer services as a provider (freelancer);
- Create and participate in educational modules;
- Obtain skills certification;
- Communicate through built-in tools (messages, reviews, comments);
- Receive recommendations and participate in the rating system.
Romtos is not an employer, educational institution, or agent of any party involved in the collaboration. The Platform acts as an intermediary, providing infrastructure and tools for interaction between users.
3.2. Usage Restrictions
You agree not to use the Platform:
- To post, receive, or transmit false, harmful, fraudulent, or illegal information;
- To bypass Romtos’s payment system or any other infrastructure;
- To upload viruses, spam, malicious code, or other destructive activity;
- To copy, clone, modify, or interfere with the Platform’s operation;
- To distribute content infringing copyrights or intellectual property rights of third parties;
- To insult, threaten, harass, or discriminate against other users.
Romtos reserves the right to suspend access, block, or delete accounts and content upon detecting violations without prior notice.
3.3. Availability and Updates
Romtos strives to ensure uninterrupted operation of the Platform; however, it does not guarantee constant availability of all features. We reserve the right to make changes to the interface, functionality, and content of the Platform without prior notice, including adding, modifying, or removing services.
4. User Responsibilities
All users of the Romtos Platform agree to act in good faith, respectfully, and in compliance with applicable laws, as well as to follow the rules of interaction outlined in these Terms.
4.1. Responsibilities of Clients
Users acting as clients agree to:
- Provide clear, complete, and up-to-date descriptions of tasks or educational needs;
- Fulfill payment obligations in full and within the specified timeframes;
- Refrain from requesting services that are illegal or infringe upon third-party intellectual property rights;
- Interact respectfully with freelancers and instructors;
- Avoid attempts to bypass the Romtos payment system.
4.2. Responsibilities of Freelancers
Users providing services as freelancers agree to:
- Complete tasks with quality, on time, and in accordance with the provided description;
- Keep their profile information accurate and up to date;
- Refrain from delivering completed work before payment is confirmed or unless otherwise agreed;
- Follow Platform rules, including the prohibition of plagiarism, dishonest practices, or copying others’ work;
- Maintain confidentiality for each project unless otherwise stated in the project details or client profile.
4.3. Responsibilities of Instructors
Users publishing educational modules or conducting lessons agree to:
- Provide only original and lawful content;
- Ensure the accuracy and relevance of educational materials;
- Respect the intellectual property of other instructors and the Platform;
- Respond to student inquiries and follow the terms of engagement specified in the module;
- Refrain from using the Platform for advertising, data collection, or self-promotion beyond the permitted functionality.
4.4. General Responsibilities of All Users
- Follow rules of communication and avoid insults, discrimination, threats, or harassment;
- Do not use the Platform to circumvent tax or legal regulations;
- Do not impersonate others or create fake accounts;
- Do not interfere with the operation of the Platform or attempt hacking, DDoS attacks, or other technical manipulation.
Romtos reserves the right to take any appropriate action, including restricting access or deleting accounts, in response to violations of the above responsibilities.
5. Payments and Fees
Romtos provides infrastructure for secure and transparent financial interactions between users. All transactions between clients, freelancers, instructors, and the Platform are conducted exclusively through the internal Romtos payment system or integrated third-party payment services.
The Platform charges the following fees:
- Freelance and Projects: a 1.9% fee is charged on each transaction from both parties (or as specified in the task card);
- Educational Modules / Instructors: 0% commission is charged from the instructor;
- Additional fees: payment system charges may apply (e.g., for withdrawals or currency conversions).
The current rates are always available in the Help and Pricing section and may be changed with at least 14 days’ notice before taking effect.
5.2. Payment Methods
Romtos uses trusted payment gateways to process incoming and outgoing payments (e.g., Stripe, Fondy, Payoneer, etc.). Users agree to provide accurate information necessary to complete financial transactions.
Romtos does not store or directly process credit card information — all transactions are handled through secure third-party services.
5.3. Payment Mechanism and Fund Lock (Escrow)
To protect both parties, Romtos may use an escrow system:
- The client reserves funds before the task begins;
- The freelancer completes the task and submits the result;
- Upon client approval — or after the warranty period expires — funds are automatically released to the freelancer.
Romtos reserves the right to hold or delay fund transfers in case of disputes, complaints, or suspected fraud until the issue is resolved.
5.4. Withdrawals
- Freelancers and instructors may request withdrawals once the minimum threshold is reached and identity verification is completed;
- Withdrawal timelines may vary depending on the selected payment method and internal processing;
- Withdrawals are only available through officially supported payment providers on the Platform.
5.5. Prohibition of Payment Circumvention
All payments between users that originate on the Platform must be completed through the Platform. Attempting to conduct direct payments outside of Romtos, without prior approval, constitutes a serious violation of the Terms.
The Platform reserves the right to:
- Suspend or block the violator’s account;
- Cancel active orders;
- Deny support and refunds in cases of circumvention.
6. Content and Ownership Rights
The Romtos Platform allows users to upload, publish, and share various types of content — including text, images, videos, educational modules, tasks, files, portfolios, and reviews.
6.1. Rights to Your Own Content
You retain all copyright and ownership rights to the content you create and upload to the Platform. However, by publishing content, you grant Romtos a non-exclusive, worldwide, royalty-free, perpetual license to use, store, publish, copy, technically process, and display that content for the operation of the Platform and for promotional purposes (e.g., in the freelancer catalog, educational listings, etc.).
Romtos does not claim ownership of your materials but has the right to use them as part of the Platform’s operation and promotion.
6.2. Responsibility for Content
You are solely responsible for any content you upload, including compliance with copyrights, licenses, and third-party rights. You agree to:
- Not upload someone else’s or illegal content without permission;
- Not upload materials that infringe copyrights, patents, trademarks, or contractual rights;
- Not distribute materials containing malicious code, viruses, or exploit vulnerabilities;
- Not publish content containing threats, violence, discrimination, pornography, or fraud.
Romtos reserves the right to remove any content that violates these Terms without prior notice.
6.3. Content Created as Part of Orders
If you are a freelancer creating content (e.g., code, designs, texts) for a client, ownership of the final product is transferred to the client only after full payment, unless otherwise specified in the task description or by mutual agreement.
If you are an instructor publishing a course, the content remains your intellectual property, but Romtos is granted the right to distribute it to users who have paid for access, under the terms set forth by the Platform’s policies.
6.4. Content Deletion
You may delete part or all of your content from the Platform through your account settings. However:
- Content related to completed orders, reviews, and educational activities may be retained for archival, legal, or analytical purposes;
- Deletion does not revoke licenses already granted if other users have previously accessed the content.
7. Prohibited Actions
To ensure fairness, security, and trust among all participants, Romtos strictly prohibits certain actions that violate the principles of the Platform, applicable laws, and standards of professional conduct.
Users agree not to engage in the following actions while using the Platform:
7.1. Fraud and Abuse
- Creating fake orders, fake reviews, or fraudulent accounts;
- Attempting to manipulate the rating or recommendation system;
- Violating payment terms, including circumventing the internal payment system;
- Illegally appropriating content, source code, or other materials without the owner’s consent.
7.2. Privacy and Security Violations
- Unauthorized access to other users’ accounts or data;
- Hacking attempts, disrupting the Platform, or spreading malware;
- Collecting users’ personal data without their consent;
- Sharing login credentials, passwords, or other confidential information with third parties.
7.3. Intellectual Property Violations
- Posting, using, or distributing content that infringes copyrights, trademarks, or other third-party rights;
- Violating licensing terms attached to educational materials or freelance deliverables;
- Copying or reusing modules, tasks, or methods created by others without permission.
7.4. Communication Violations
- Posting offensive, discriminatory, defamatory, pornographic, or otherwise inappropriate content;
- Harassment, threats, bullying, or discrimination based on gender, race, religion, nationality, orientation, etc.;
- Trolling, spamming, flooding, or provocation in comments and messaging.
- Involvement in illegal activity, including posting tasks related to prohibited software, hacking, spam, or fraudulent schemes;
- Using the Platform for self-promotion, advertising external resources, or selling products and services outside Romtos guidelines;
- Participating in tasks related to document forgery, cheating exam systems, or bypassing rules of educational institutions.
7.6. Consequences of Violations
Romtos reserves the right to take the following measures upon identifying violations:
- Remove offending content;
- Temporarily suspend the account;
- Permanently delete the account without refund;
- Report the violation to appropriate legal authorities if unlawful actions are detected;
- Withhold payments until the completion of an internal investigation.
We reserve the right to assess user behavior at our sole discretion, including violations of the spirit — not just the letter — of these Terms.
8. Limitation of Liability
By using the Romtos Platform, you acknowledge and accept that all services are provided on an “as is” and “as available” basis.
8.1. Disclaimer of Warranties
Romtos makes no express or implied warranties regarding:
- The quality, completeness, accuracy, or suitability of content posted by users;
- The results you may achieve through the use of freelancers, instructors, or educational modules;
- The uninterrupted, secure, or error-free operation of the Platform;
- The absence of viruses, malware, or other harmful components;
- The legality, authenticity, or compliance of tasks or content posted by users.
You use the Platform and any related services at your own risk.
8.2. Limitation of Damages
To the fullest extent permitted by law, Romtos, its founders, employees, partners, and contractors shall not be liable for any:
- Direct or indirect losses;
- Loss of profits;
- Loss of data or contracts;
- Reputational harm;
- Financial or non-financial consequences resulting from:
- The use or inability to use the Platform;
- Actions or omissions of other users;
- Errors, failures, or technical issues related to the Platform or third-party services.
8.3. Aggregate Liability Limit
The total liability of Romtos to you for any claim arising out of or relating to the use of the Platform shall not exceed the amount actually paid by you to Romtos in the last six (6) months, or €100 — whichever is greater.
9. Warranties and Disclaimer of Warranties
9.1. User Warranties
The user represents and warrants that:
- All data and information provided by them is truthful, accurate, and not misleading;
- The content they upload and the tasks they perform do not infringe upon the rights of third parties, including intellectual property rights;
- They have all necessary rights and authority to enter into agreements and perform work on the Platform;
- They do not use the Platform for unlawful, fraudulent, or otherwise improper purposes.
9.2. Romtos Disclaimer of Warranties
Romtos provides the Platform and its services on an “as is” and “as available” basis, without any warranties, express or implied, including but not limited to:
- Warranties of merchantability, fitness for a particular purpose, or non-infringement of third-party rights;
- Warranties regarding the accuracy, reliability, completeness, or timeliness of information, materials, or services;
- Warranties of error-free or uninterrupted operation of the Platform;
- Warranties regarding security or the absence of viruses, malicious code, or other threats.
9.3. Responsibility for Content and Results
The user understands and agrees that Romtos is not responsible for the actions or inactions of other users, the quality of completed work, the outcomes of educational activities, or any other results arising from interactions on the Platform.
10. Dispute Resolution and Jurisdiction
10.1. Pre-Trial Settlement
In the event of any disputes or disagreements related to the use of the Romtos Platform, the parties agree to make good-faith efforts to resolve them through negotiations and mutual consultations.
The Platform operates on the principle of automatic fulfillment of obligations through smart contract technology, which excludes third-party involvement in dispute resolution. All contracts are generated and executed based on pre-programmed logic that ensures the enforcement of agreed terms.
If either party refuses to fulfill its contractual obligations, it agrees to pay a penalty to the other party, calculated based on the contract amount, in accordance with the terms of the specific smart contract and these Terms.
10.3. Governing Law
These Terms are governed by and interpreted in accordance with the laws of the country where the legal entity Romtos is registered (or other applicable law if specified). The user agrees to the exclusive jurisdiction and venue of the courts of that country for resolving any disputes related to the use of the Platform or enforcement of these Terms.
10.4. Force Majeure
Romtos shall not be liable for any failure or delay in performance caused by force majeure circumstances, including but not limited to natural disasters, war, epidemics, internet outages, or disruptions in third-party systems.
11. Changes to the Terms
11.1. Right to Modify
Romtos reserves the right to modify, amend, or update these Terms, as well as any related policies and rules, at any time.
11.2. User Notification
In the event of significant changes, Romtos will notify users by posting a notice on the Platform and/or by sending a notification to the email address provided during registration.
11.3. Acceptance of Changes
Continued use of the Platform after the changes take effect constitutes your acceptance of the updated Terms. If you do not agree with the changes, you are required to stop using the Platform and delete your account.
11.4. Effective Date of Changes
The effective date of each version of the Terms will be indicated in the document. The latest version becomes effective upon publication unless otherwise stated.
12. Termination of Agreement
12.1. Right to Terminate
Either party — the user or Romtos — has the right to terminate this agreement at any time, with or without notice, in case of a breach of the Terms.
12.2. Termination of Access
Upon termination of the agreement, the user’s access to the Platform and its features may be limited or completely revoked.
12.3. Consequences of Termination
- All rights and licenses granted to the user under these Terms shall cease;
- Deleting an account does not release the user from obligations incurred prior to termination;
- Romtos retains the right to store user data to the extent necessary to fulfill legal obligations and resolve disputes;
- Any financial obligations incurred prior to the termination date must be fully satisfied.
12.4. Account Deletion
Users may delete their account through the Platform settings or by contacting customer support. Romtos reserves the right to retain certain data for archival purposes.
13. Severability
If any provision of these Terms is held to be invalid, unlawful, or unenforceable in whole or in part by a competent court or authority, such determination shall not affect the validity and enforceability of the remaining provisions.
In such a case, the parties agree to replace the invalid provision with a valid one that most closely reflects the original intent and purpose, preserving the overall legal framework and mutual understanding.
14. Assignment of Rights and Obligations
14.1. Assignment by Romtos
Romtos may assign its rights and obligations under these Terms, in whole or in part, to third parties without the User’s consent, including in the event of a merger, sale of business, reorganization, or other transactions.
14.2. Assignment by the User
The User may not assign or transfer their rights or obligations under these Terms to any third party without prior written consent from Romtos.
